Naija.Events — Terms of Service

These Terms of Service (the “Terms”) form a legally binding agreement between you and Naija.Events (“Naija.Events”, “we”, “us”, or “our”). By visiting the site, creating an account, listing services, creating an event, using ticketing/check‑in tools, or operating a hosted Event Website, you agree to these Terms.

1) Definitions

  • Vendor / Organizer: A person or business that lists services, creates event listings, or sells tickets via Naija.Events.

  • Event Website Customer: A client who receives a dedicated event website hosted by us (on a subdomain or mapped domain).

  • Attendee: A person who views or purchases a ticket to an event.

  • Service: The Naija.Events site, marketplace, ticketing and check‑in tools, and hosted Event Websites.

  • Verified: An optional badge we may grant after basic checks. It is not an endorsement or guarantee.

  • Wallet: The balance and payout request feature in your Naija.Events dashboard used for transactions processed via our Paystack on the main website.

  • Processing Fee/Commission: Our platform fee applied to transactions processed through our Paystack; minimum ₦500 per transaction, and may be higher by written agreement for specific events/services. This fee is separate from Paystack’s own fees.


2) Using Naija.Events (applies to everyone)

Eligibility & Accounts. You must be at least 18 and able to form a contract. Keep your login secure and notify us promptly of unauthorised use. You’re responsible for all activity on your account.

Your Content & Licence. You own your content. You grant us a worldwide, non‑exclusive, royalty‑free licence to host, cache, display, distribute, and promote it as needed to operate and market the Service (including thumbnails, screenshots, search results, and promotional placements). You confirm you have all rights and permissions for everything you publish (logos, photos, videos, music, copy, menus, PDFs, data, etc.).

Acceptable Use. You agree not to:

  • Post illegal, harmful, deceptive, defamatory, obscene, infringing, or discriminatory content;

  • Promote or facilitate violence, hate, or harm;

  • List prohibited events (e.g., unlawful gatherings, weapons/illegal drugs activity, scams or events that would breach applicable law);

  • Interfere with or scrape the Service, probe or bypass security, or spam users;

  • Misuse personal data obtained through the Service.
    We may remove content or suspend accounts that breach these Terms or create risk.

Privacy. Our use of personal data is described in our Privacy Policy. If you collect or process Attendee or customer data through the Service (including via forms, ticketing, or check‑in), you must comply with applicable data‑protection, marketing, and consumer‑protection laws. You are solely responsible for your own notices/consents where required.

Changes to the Service/Terms. We may update the Service and these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (e.g., by posting on the site or email). Your continued use after changes take effect constitutes acceptance.

Marketplace Role. Except where expressly stated, we are a technology provider and marketplace. We are not the organizer of Vendor events, are not a party to Vendor‑customer transactions (unless you use our checkout), and do not control Vendor policies, pricing, or fulfilment.


3) Fees, Payments & Payouts

Pricing. Some features are free; others carry fees (e.g., Verified, featured placements, ticketing/service fees, add‑ons). Current pricing appears on the site or at checkout and may change.

Payment Processing. Payments may be processed via Paystack or other supported gateways. Organizers may connect their own sub‑account(s). Where our checkout is used, you authorise configuration of payment splits so our platform/service fees are deducted automatically according to your gateway settings.

Naija.Events Processing Fee / Commission (our Paystack). For payments made on the main Naija.Events website and for Event Websites that route Aso‑Ebi bookings, registrations, or ticket payments through our Paystack account, we charge a processing fee/commission with a minimum of ₦500 per transaction. Depending on the event and our level of involvement (e.g., production of promo videos, event coverage, or other add‑on services), the commission may be higher where agreed in writing (for example, in an order form, email confirmation, statement of work, or platform checkout flow). Where these additional services are not paid upfront, we may agree to a higher commission in return for delivering them. Paystack’s fees (currently 1.5% + ₦100) still apply to each transaction.

Event Websites using their own Paystack. If an Event Website connects and uses its own Paystack account for payments, Naija.Events charges a one‑time setup fee (as listed on the Site) and takes no per‑transaction commission from those payments. (Paystack’s fees still apply between you and Paystack.) Vendor Bookings (off‑platform payments). If you do not use our checkout for bookings, any payments are made directly between the customer and the Vendor off‑platform. We are not a party to, and are not responsible for, such payments or any related disputes.

Main‑site Vendor Payment Bookings (optional). Vendors may choose to accept on‑site payments for bookings via their Vendor pages on the main Naija.Events website (processed via our Paystack). For these transactions, a minimum ₦500 processing fee per transaction applies (in addition to Paystack’s fees). This is a standard fee; we do not negotiate separate per‑transaction commissions with Vendors/Venues for this feature. The feature is optional—Vendors can disable on‑site payments and instead use a Request Pricing option.

Payouts, Holds & Offsets.**

  • Standard payout timeline (main website). For transactions processed via our Paystack on the main website, payouts are typically made within two (2) business days and must be requested via the Wallet in your dashboard.

  • Event Websites. Where transactions are processed via our Paystack, payouts may be automatic (where supported/configured) or processed after an email request to admin@naija.events. If you use your own Paystack, payouts are handled by Paystack directly to you.

  • We may delay or withhold payouts where we reasonably suspect fraud, chargebacks, disputes, law‑enforcement requests, or policy breaches, and we may deduct or offset amounts owed to us from your future payouts.

Taxes.** You are responsible for assessing, displaying, collecting, and remitting all taxes, levies, and statutory fees applicable to your sales, tickets, or services.

Refunds of Platform Fees. Except where required by law, Naija.Events platform/service fees are non‑refundable once the relevant service begins (e.g., a verification review or a completed ticket transaction).


4) Terms for Vendors / Organizers

A. Listings & Profiles

Accuracy. Provide true and current information (business details, prices, availability, location, policies) and keep it updated.

Photos & Media. Upload only content you have rights to. We may resize, crop, compress, transcode, or otherwise optimise media for performance and compatibility.

Ranking & Placement. Search/order and visibility may be influenced by relevance, proximity, quality signals, reviews, policy compliance, “Featured” status, paid placements, and other factors.

Verified Badge. “Verified” reflects checks done at a point in time. It is not a warranty of quality, safety, insurance, or ongoing compliance. We may grant, withhold, suspend, or revoke the badge at our discretion (e.g., complaints, misconduct, expired documents).

B. Messaging, Reviews & Conduct

Communicate professionally with users. Do not harass or abuse anyone, do not manipulate reviews or incentives, and do not post fake reviews. We may moderate, hide, or remove reviews that violate our guidelines or applicable law.

C. Ticketing & Events

Responsibility. You are the Organizer and are solely responsible for permits, venue capacity/safety, access control, honouring tickets, and delivering what you advertise.

Refund/Cancellation Policy. Clearly display your refund/cancellation policy on each event page. If you cancel or materially change an event, you must promptly notify Attendees and provide refunds in line with your policy and applicable law. We may (but are not obliged to) facilitate communications or refunds using our tools.

Disputes & Chargebacks. You are responsible for attendee claims, chargebacks, and related costs. We may recover such amounts from you by offsetting against payouts or invoicing you.

Check‑ins. If you use our check‑in tools/apps, you are responsible for device security, connectivity, and proper scanning/validation at the venue. You must maintain backup procedures in case of network or hardware failure.

Prohibited Events. Events that are illegal, unsafe, deceptive, discriminatory, exploitative, or likely to cause harm are not allowed.

Ticket Resale & Fraud. You may set rules against resale/scalping. We may limit quantities, cancel suspicious orders, or require identity verification where we reasonably suspect fraud.


5) Terms for Event Website Customers (hosted sites)

A. Provisioning & Access

We provide a hosted website (e.g., a subdomain under naija.events or your mapped domain). You receive admin access for content management. You are responsible for your content and day‑to‑day use; we handle platform‑level updates and routine maintenance.

B. Payments on Event Websites

Two options:

  1. Use our Paystack. We will process payments for Aso‑Ebi bookings, registrations, and/or ticket sales through our Paystack. We charge a processing fee/commission with a minimum of ₦500 per transaction; depending on the event and our level of involvement (e.g., promo videos, event coverage, or other services), the commission may be higher where agreed in writing (order form, email confirmation, statement of work, or platform checkout). Paystack’s fees (currently 1.5% + ₦100) also apply. Payouts may be automatic (where supported/configured) or processed after an email request.

  2. Use your own Paystack. You may connect your own Paystack account for Event Website payments. We charge a one‑time setup fee (see Site pricing) and take no per‑transaction commission. Paystack will handle payouts to you directly and will charge its standard fees to your account.

C. Content, Plugins & Customisation

Use only licensed content and plugins. For security and stability, we may restrict or remove incompatible plugins, themes, or custom code. Any bespoke development or special integrations require a separate written agreement, scope, and fees.

D. Email/SMS & Deliverability

We provide sending integrations on a best‑effort basis; deliverability depends on third parties and is not guaranteed. You must comply with anti‑spam rules and obtain/maintain appropriate consents.

E. Uptime, Backups & Limits

We aim for high availability but do not guarantee uninterrupted service. Planned or emergency maintenance may occur. We keep periodic backups for disaster recovery; we are not responsible for data you delete or overwrite. Fair‑use limits may apply to storage, bandwidth, and server resources; we may rate‑limit or request upgrades where needed.

F. Support, Term & Termination

Basic platform support is included. Content edits, design changes, or bespoke work are out of scope unless separately contracted. You may cancel at any time. We may suspend or remove a site for breach or risk. On request, and if available, we will provide a reasonable content export (e.g., database/files). Some platform‑specific data may not be exportable.


6) Intellectual Property

Ours. The Naija.Events platform, code, trademarks, designs, and branding are our intellectual property. You may not copy, modify, or reverse‑engineer them.

Yours. You retain ownership of your content and grant the limited licence described in Section 2 to operate and market the Service.

Infringement Notices. If you believe your IP is infringed on the Service, email admin@naija.events with: (a) a description and link(s) to the content; (b) proof of ownership/authority; and (c) your contact details. We may remove content at our discretion.


7) Warranties & Disclaimers

The Service is provided “as is” and “as available.” Without limiting the foregoing, we do not guarantee any specific listing placement, traffic, enquiries, bookings, sales, attendees, revenue, deliverability, or uptime. To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

We are not the organizer of Vendor events and are not responsible for event fulfilment, safety, or the attendee experience.


8) Limitation of Liability

To the fullest extent permitted by law, Naija.Events and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption. Our total liability for all claims arising out of or relating to the Service in any 12‑month period will not exceed the total platform/service fees you paid to us in that period.


9) Indemnification

You will defend, indemnify, and hold harmless Naija.Events and its affiliates, directors, officers, and staff from and against any claims, losses, damages, fines, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your content or events; (b) your use of the Service; (c) your breach of these Terms; (d) your violation of law or third‑party rights; or (e) disputes with Attendees or other users.


10) Suspensions & Takedowns

We may suspend or remove listings, events, Event Websites, or accounts that violate these Terms, attract repeated complaints, pose security or legal risk, or otherwise harm users or the Service.


11) Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Courts in Lagos State will have exclusive jurisdiction. Before filing a claim, you agree to first attempt to resolve disputes informally by contacting admin@naija.events.


12) Communications & Notices

By using the Service, you consent to receive transactional communications (e.g., account, security, ticketing, order updates). You may opt out of non‑essential marketing messages. Formal notices to Naija.Events must be sent to admin@naija.events.


13) General

Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

Severability. If any provision is found unenforceable, the remaining provisions will remain in full force.

No Waiver. Our failure to enforce a provision is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.

Entire Agreement. These Terms, together with any policies referenced herein (e.g., Privacy Policy, Review Guidelines), constitute the entire agreement between you and Naija.Events regarding the Service and supersede prior understandings.

Survival. Provisions which by their nature should survive (including Sections 3, 6–9, 11–13) will survive termination.

  • Main‑site Vendor bookings (optional): If Vendors accept on‑site payments for bookings via their pages, a minimum ₦500 fee per transaction applies (plus Paystack fees). No separate negotiated commissions for this feature. Vendors can disable on‑site payments and use Request Pricing instead.

  • Payouts: Main‑site transactions processed via our Paystack are paid out within 2 business days after a Wallet request. Event Website payouts are automatic (where supported) or done after an email request when using our Paystack; payouts from your own Paystack are handled by Paystack.

  • If you cancel an event, communicate quickly and refund per your policy and law.

  • We limit liability and may remove content or accounts that break the rules.
